Today Is A Good Day, Inc., a Pennsylvania corporation with offices located at 1511 Bethlehem Pike, Flourtown, PA 19031 (“TIAGD”), wishes to use and publicize the name, image (photographs or video) sound recordings, and other personal characteristics and private information of me and/or the minor person named below (my “Child”) for whom I am giving consent (hereinafter, (“I” or “me” or “Parent”) for the advertising, marketing, fundraising or promotional purposes of TIAGD. For good and valuable consideration, the receipt and sufficiency of which I hereby acknowledge, I give TIAGD my permission for such use and publicity for such purposes, according to the terms and conditions set forth in this Waiver and Release (the “Release”). I hereby irrevocably permit, authorize, grant, and license TIAGD and its successors, and assigns, and their respective employees, officers, directors, and agents (“Authorized Persons”), the rights to display, transmit, broadcast, reproduce, record, photograph, digitize, modify, alter, edit, create derivative works, license, and otherwise use, and permit others to use, my and my minor Child’s name, image, likeness, appearance, voice, personal biographical information, and health information and all materials created by or on behalf of TIAGD that incorporate any of the foregoing (“Materials”) in perpetuity throughout the universe in any medium or format whatsoever, including, but not limited to, in brochures and other print publications and other advertising and promotional materials and press releases, on electronic and other media, in television broadcasts, radio broadcasts, and on the internet, social media platforms, and other digital transmission or delivery methods, all for the advertising, marketing, fundraising or promotional purposes of TIAGD. I acknowledge that this Release is being made without any expectation of compensation to me or my Child. While unlikely, TIAGD may receive direct or indirect remuneration from a third party. To the extent that any benefit accrues or might accrue to TIAGD from use or disclosure of the Materials, I hereby forever waive any interest in or claim to such benefits. TIAGD shall be the exclusive owner of all rights, including copyright, in the Materials. I hereby irrevocably transfer, assign, and otherwise convey to TIAGD my and my Child’s entire right, title, and interest, if any, in and to the Materials and all copyrights and other intellectual property rights in the Materials arising in any jurisdiction throughout the universe in perpetuity. I acknowledge and agree that I have, and my Child has, no right to review or approve Materials before they are used by TIAGD, and that TIAGD has no liability to me or my Child for any editing or alteration of the Materials. I hereby release and forever discharge TIAGD (including without limitation all corporate affiliates and officers, directors, employees, and agents) from any and all claims, liability, actions, suits, demands, costs, expenses or indebtedness arising out of, related to, or in any way connected with the use of the Materials described herein, and I hereby waive all rights and interest in and to such Materials. I represent and warrant to TIAGD that I am at least 18 years of age, and I have full right, power, and authority to enter into this Release and grant the rights granted hereunder, including for my Child. All matters arising out of or relating to this Release will be governed by and construed in accordance with the internal laws of the State of Pennsylvania without giving effect to any choice or conflict of law provision or rule (whether of the State of Pennsylvania or any other jurisdiction). Any claim or cause of action arising under this Agreement may be brought only in the federal and state courts located in Philadelphia, Pennsylvania, and I hereby irrevocably consent to the exclusive jurisdiction of such courts. THIS RELEASE PROVIDES TIAGD WITH MY ABSOLUTE AND UNCONDITIONAL CONSENT, WAIVER, AND RELEASE OF LIABILITY, ALLOWING TIAGD TO PUBLICIZE AND EXPLOIT MY AND MY CHILD’S NAME, LIKENESS, AND OTHER PERSONAL CHARACTERISTICS AND PRIVATE INFORMATION AS SET OUT ABOVE. BY SIGNING, I ACKNOWLEDGE THAT I HAVE READ AND UNDERSTOOD ALL OF THE TERMS OF THIS RELEASE. I am the parent or legal guardian of the minor named below. I have the legal right to consent to and, by checking the box below, I hereby do consent in all respects to the terms and conditions of this Waiver and Release and agree that both the minor and I shall be bound by all of its terms and conditions. By submitting this form, you acknowledge and agree that you are electronically executing this document, and that your electronic submission shall constitute your valid and binding signature to the same extent as if you had signed this document in writing.
